Commercial & Corporate Law

Legal Infrastructure for Business.

We provide end-to-end legal support for businesses operating in or entering the Dominican Republic. Our corporate practice covers the full lifecycle of a business entity — from formation to governance, growth transactions, and dissolution.

Services include: formation of Dominican companies (SRL, SA, and branches of foreign corporations); joint ventures and consortia; corporate governance and board resolutions; due diligence audits; mergers, acquisitions, and spin-offs; commercial contracts (including distribution, franchise, and supply agreements); securities offerings; and company dissolution and liquidation.

We have particular experience advising on acquisitions and mergers in the banking and insurance sectors — transactions that require both legal precision and deep familiarity with Dominican regulatory frameworks.

Real Estate Law

From Due Diligence to Title Transfer.

The Dominican Republic's real estate market — especially in Santo Domingo and Punta Cana — attracts significant domestic and international investment. Navigating it requires precise knowledge of two governing legal frameworks: Law 108-05 on Real Estate Registry (2005) and Condominium Law 5038 of 1958.

Our real estate practice covers: property acquisitions and sales; title certification and registry; condominium creation and management; mortgages and liens; rental agreements; boundary surveys and easements; evictions; property due diligence for buyers; and representation in real estate disputes.

We advise buyers, sellers, developers, and lenders — including many international clients purchasing investment or vacation property in the DR. We understand both the legal requirements and the practical realities of Dominican real estate transactions.

Foreign Investment

Entering the Dominican Market with Confidence.

The Dominican Republic is one of the Caribbean's most dynamic economies, with a strong foreign investment framework and a growing private sector. We assist international investors in structuring their entry into the Dominican market, ensuring full compliance with local law while maximizing the efficiency and protection of their investment.

Services include: legal review of investment opportunities; foreign company establishment and branch installation; joint venture structuring; free trade zone setup and compliance; due diligence on Dominican targets; and regulatory approvals for specific sectors (banking, insurance, telecommunications).

Our firm's international perspective — shaped by decades of work with foreign clients and Dr. Bisonó's training at Yale School of Management — enables us to bridge the gap between your home jurisdiction and Dominican law.

Litigation & Arbitration

Resolving Disputes. Protecting Your Position.

When disputes arise, we offer experienced representation before Dominican civil and commercial courts and before domestic and international arbitration tribunals. We handle the full range of civil and commercial contentious matters — contracts, corporate, real estate, debt recovery, and economic crimes.

We are advocates for resolution: where a negotiated settlement is possible, we pursue it. Where litigation is unavoidable, we bring the same rigor and preparation to the courtroom that we apply to every transactional matter.

Dr. Bisonó has personally represented clients in cases involving criminal law and economic crimes — an area the firm handles on an exceptional basis for existing clients with complex commercial disputes with criminal dimensions.

Intellectual Property

Protecting What You've Built.

Intellectual property is a core asset for businesses, brands, and creators. We advise on the registration, protection, and enforcement of trademarks, copyrights, and other intellectual property rights in the Dominican Republic and through applicable international frameworks.

Services include: trademark registration with the Dominican National Office of Industrial Property (ONAPI); copyright registration; IP due diligence in M&A transactions; licensing agreements; and enforcement actions against infringement.

We work with both local businesses establishing their brand identity in the DR and international corporations protecting their IP in the Caribbean market.

Heritage & Asset Organization

Structuring Wealth for Generations.

For high-net-worth individuals and families, organizing assets and planning for succession is as important as any business transaction. We advise clients on the legal structuring of personal and family assets — including property, business holdings, and financial interests — to achieve clarity, protection, and efficiency in wealth transfer.

Services include: family holding structure design; property succession planning; trust arrangements under applicable law; and inter-generational asset organization for families with interests in the Dominican Republic.

Free Trade Zones

Operating in the DR's Free Trade Zone Framework.

The Dominican Republic's free trade zone (FTZ) regime offers significant fiscal and operational benefits for qualifying businesses. We assist companies in establishing and operating within Dominican free trade zones — from the initial legal setup to ongoing compliance with FTZ regulations.

Services include: eligibility analysis; FTZ company formation; operating contracts with zone administrators; employment structure within FTZ rules; and liaison with the National Free Trade Zones Council (CNZFE).

Our FTZ work bridges corporate law and foreign investment — we advise both the multinational entities entering the DR through the FTZ regime and the local partners facilitating their operations.

Contracts

Clear Agreements. Enforceable Terms.

Commercial relationships are built on contracts. We draft, review, and negotiate agreements across every area of commercial life — from simple service agreements to complex multi-party transaction documents.

Our contract work spans: commercial purchase and sale agreements; construction and development contracts; distribution and franchise agreements; employment contracts; real estate sale and lease agreements; loan and security agreements; joint venture agreements; and technology and IP licensing contracts.

We apply the same exacting standard to a two-page service contract as to a complex transaction document — because a poorly drafted agreement is a problem waiting to happen.

International Law

Cross-Border Matters, Local Expertise.

Business increasingly crosses borders. We advise clients on the international law dimensions of their Dominican operations — including applicable treaties, cross-border transaction structuring, international commercial contracts, and coordination with legal counsel in other jurisdictions.

Our international practice draws on Dr. Bisonó's academic training and decades of work with foreign clients, and on the firm's established relationships with law firms and legal professionals in other jurisdictions. We bridge the gap between Dominican law and the legal systems our international clients come from.
